布林克斯 （Brinks Co，BCO）周四表示，将以现金加股票的方式收购 NCR Atleos Corporation （NATL），交易总价值约66亿美元（包括债务）。
NCR Atleos为金融机构和零售商提供运营效率解决方案，同时为消费者提供以数字优先为核心的金融自助服务体验。
根据协议，Brinks将以每股30美元现金加0.1574股Brinks普通股的方式收购NCR Atleos的每一股已发行股份。
按此计算，每股50.40美元的合并对价隐含值较NCR Atleos 2026年2月26日的收盘价溢价约20.4%。
该交易已获得两家公司董事会批准，预计将于2027年第一季度完成。
Brinks首席执行官马克·尤班克斯（Mark Eubanks）和首席财务官库尔特·麦克马肯（Kurt McMaken）将在合并后的公司中继续担任相同职务。
Sidley Austin担任Brinks此次交易的法律顾问。
此外，Brinks还预计第一季度调整后每股利润为1.50至1.90美元，区间中值与LSEG汇编数据显示的分析师预期1.70美元一致。
受消息影响， NCR Atleos Corporation 盘前升14%。
