华昊中天医药-B(02563)发布公告称，公司董事会已通过决议，拟在股东周年大会上请求授予回购已发行H股的授权，最高规模相当于通过相关决议当日已发行H股总数（不包括库存股份）的10%。截至最后公布的可行日期，华昊中天医药-B已发行H股数量为364,588,000股，如获按此规模全数行使回购授权，最高可回购约36,458,800股H股。
公告称，上述回购所需资金将以公司合法自有资金支付，并适用中国法律及香港联交所的相关上市规则等要求。董事会认为，此举可在必要时通过在公开市场回购股份的形式，提高公司每股资产净值并进一步巩固整体稳定性，符合公司与全体股东的最大利益。
公司股东周年大会定于2026年6月26日召开，将审议通过包括股份回购授权在内的数项提案。经股东批准后，授权将自股东大会决议通过之日起至下届股东周年大会结束、或相关期限届满时，或股东另行通过特别决议取消或修订授权之日止生效。
董事会表示，公司目前并无即刻回购股份的计划，后续将视市场状况及公司实际情况合理行使本次授权。
