米兰站（01150.HK）于港交所主板上市，公司近日在股东周年大会通告中披露，董事会已获授一般及无条件购回授权，将可于适用期限内回购不超过公司已发行股份总数（不包括库存股份）的10%，即约1.06亿股。该授权的有效期自决议案通过之日起，至下届股东周年大会结束或股东大会撤销该授权之日止。
公告显示，米兰站目前已发行股本合共10.57亿股（不含库存股份）。本次拟回购股份所需资金将依据开曼群岛相关法例及公司组织章程所允许可合法动用的资金安排。公司表示，该回购计划将有助于提升每股账面价值或每股收益，并对公司及股东整体利益具有正面意义。
根据公告，米兰站本次股东周年大会将于2026年6月25日召开，同时公司自2026年6月22日至6月25日暂停办理股份过户登记，6月25日为认定具备会议投票权股东的记录日期。此外，米兰站在过去六个月内并未在联交所或通过其他方式进行股份回购。董事会表示，将在确保公司营运资金及资本负债状况不受重大影响的前提下，根据市况决定是否及何时行使回购授权。
