Pony AI Sets 5 May 2026 AGM Record Date; Joint Company Secretary Tian Gao Steps Down

Pony AI Inc. (Pony AI) has fixed 5 May 2026 as the record date for determining the voting eligibility of shareholders and ADS holders for the forthcoming annual general meeting (AGM).

For ordinary shares registered in Hong Kong, transfer documents and accompanying share certificates must reach Computershare Hong Kong Investor Services Limited by 4:30 p.m. Hong Kong time on 5 May 2026. Holders whose shares are registered in the Cayman Islands must lodge transfer documents with Walkers Corporate Limited by 10:30 a.m. Hong Kong time the same day. American Depositary Share (ADS) holders on Deutsche Bank Trust Company Americas’ books at the close of business on 5 May 2026 New York time may direct the depositary on the exercise of voting rights attached to the underlying Class A ordinary shares.

The AGM notice, venue and proxy materials will be distributed in due course to shareholders and ADS holders recorded on the respective registers.

In a separate development, Joint Company Secretary Tian Gao resigned effective 16 April 2026 to focus on personal commitments. Gao confirmed no disagreement with the board or the company and no issues requiring shareholder attention. Following his departure, Tung Ching Raphael Ng will continue as the sole company secretary, meeting the requirements under Hong Kong Stock Exchange Listing Rule 3.28.

The board expressed appreciation for Gao’s service during his tenure.
