HTSC (06886): Wang Ying Nominated as Employee Representative Director Candidate

HTSC (06886) announced that, as the term of office for its sixth board of directors is expiring, the company is required to complete the upcoming board election process shortly. According to the company's Articles of Association, the board of directors shall consist of 13 members, with at least one-third being independent directors. Furthermore, since the company has issued overseas listed foreign shares (H-shares) and is listed on the Main Board of The Stock Exchange of Hong Kong, at least one independent non-executive director on the board must ordinarily reside in Hong Kong to meet relevant regulatory requirements. Among the sixth board members, Mr. Zhang Wei will step down upon the expiry of his term and will not be a candidate for executive director of the seventh board, while Mr. Chen Zhongyang and Mr. Zhang Jinxin will step down and will not be candidates for non-executive directors of the seventh board. In accordance with the "Governance Guidelines for Securities Companies" and the company's Articles of Association, shareholders holding, individually or collectively, 1% or more of the company's outstanding voting shares may propose candidates for non-employee representative directors to the board. Currently, shareholders holding a combined 1% or more of the outstanding voting shares have collectively proposed four candidates for the seventh board: Jiangsu Guoxin Group nominated Mr. Ding Feng as a non-executive director; Jiangsu Communications Holding Co., Ltd. nominated Ms. Yu Lanying as a non-executive director; Jiangsu High-Tech Investment Group nominated Mr. Ke Xiang as a non-executive director; and Jiangsu Suhao Holding Group nominated Mr. Jin Yongfu as a non-executive director. Based on relevant laws, the company's Articles of Association, and internal review, the company's chairman, upon the company's recommendation, nominated Mr. Chen Jianwei, proposed by Jiangsu Guojin Investment Group, as a non-executive director for the seventh board; and nominated Mr. Wang Huaiqing and Mr. Zhou Yi as executive directors for the seventh board. Additionally, the board nominated Mr. Wang Jianwen, Mr. Wang Quansheng, Mr. Peng Bing, Mr. Wang Bing, and Mr. Lao Jianrong as candidates for independent non-executive directors of the seventh board. According to the company's Articles of Association, the board of directors must include one employee representative. The employee representative on the board is democratically elected by the company's employees through a staff congress, staff meeting, or other forms, and does not require approval by the shareholders' meeting. Following internal review, Ms. Wang Ying has been nominated as the candidate for employee representative director of the seventh board.
