深圳市华曦达科技股份有限公司（“华曦达”，股票代码：00901，主要在香港联合交易所主板上市）宣布，已向董事会授予购回股份的一般授权，最高可回购不超过公司于授权通过当日已发行H股股份总数的10%。据公告显示，华曦达当前已发行H股约2.09亿股，若以该数字计算，最多可回购约2,093.94万股。这一购回计划仍有待股东于2026年6月26日召开的年度股东会审议通过，并在取得相关监管机构同意后方可正式实施。
公司称，购回资金将来自华曦达的内部资源，符合香港上市规则、公司章程及中国相关法律法规的安排。公告指，华曦达拟在必要时通过回购股份提升股东回报，并在日后可能将已回购股份用于员工持股或股权激励。管理层强调，该计划的实施不会对营运资金及资产负债状况造成重大不利影响。华曦达对外透露，自公司在港上市后，H股于2026年5月至最后可行日期间最高交易价为84.00港元，最低交易价为57.00港元，6月价格区间则介乎62.00港元至71.95港元。
据悉，为确保表决顺利进行，华曦达定于2026年6月23日至6月26日暂时停止办理H股股份过户登记。截至2026年6月22日仍登记在册的股东，将有权出席即将于6月26日举行的股东大会。董事会在公告中表示，此次购回授权有助于优化资本结构，符合公司及全体股东的最佳利益。董事会呼吁股东关注即将举行的股东大会并行使表决权。
