报道称医疗科技公司Tempus AI将以每股16.25美元的价格收购Personalis，受消息影响，Tempus AI 跌超6%，Personalis 盘前变化不大。
Tempus AI今日宣布，已与Personalis, Inc签订最终收购协议，扣除Tempus现有拥有权权益后，此次交易估值达15亿美元。
根据协议条款，Personalis股东将以每股普通股16.25美元的价格获得收购对价，较上周五收市价溢价6%，较未受影响的30日成交量加权平均价溢价28%。此次交易以100%股票形式结构，但Tempus可自行选择以现金支付，上限为总对价的50%。
Personalis股东将按浮动换股比例，就其持有的每股Personalis普通股换取Tempus AI普通股，换股比例上限为0.3356。现金对价部分将以公司现有现金及现有信贷融资安排下的借款支付。
