Vobile Group Fully Redeems HK$1.46 Billion 2026 Convertible Bonds; Share Base Steady in September 2026

Vobile Group Limited (Vobile) reported no changes to its share capital structure for the month ended 30 September 2026, maintaining compliance with Hong Kong’s 25% minimum public-float requirement.

Key Capital Metrics • Authorised capital remained unchanged at 32.00 billion ordinary shares with a par value of USD 0.000025 each, equivalent to USD 0.80 million.

• Issued share count (excluding treasury shares) stood at 2.59 billion. Treasury shares were stable at 1.45 million, leaving total issued shares at 2.59 billion. No new shares were issued and no treasury shares were cancelled or transferred during the month.

Convertible Bond Update Vobile completed the full redemption of its HK$1.60 billion zero-coupon convertible bonds due 2026, repurchasing the remaining HK$1.46 billion principal outstanding. The redemption resulted in zero shares being issued or transferred, eliminating any share-settlement risk from this instrument.

Equity Incentive Position The company’s 2017 Share Option Scheme closed the month with 165.33 million outstanding options, unchanged from August. These options could translate into the same number of new shares if fully exercised, while a further 301.37 million shares remain available for future grants under the scheme.

Liquidity and Compliance With no share issuance and a confirmed sufficient public float, Vobile sustains its current capital structure and market compliance following the bond redemption.
