SANAI HEALTH GP Announces Executive Director & Deputy CEO Resignation; Board Names New Authorised Representative

Sanai Health Industry Group Company Limited (SANAI HEALTH GP) reported that Executive Director and Deputy Chief Executive Officer Mr. She Hao resigned from all his roles, including his position as an authorised representative under Rule 3.05 of the Hong Kong Listing Rules, with effect from 20 May 2026. The departure is attributed to Mr. She’s decision to devote more time to personal endeavours.

Mr. She confirmed he has no disagreement with the board and that no other matters require shareholder attention. The board expressed appreciation for his contributions during his tenure.

Consequent to the resignation, Mr. She will not offer himself for re-election at the 2026 annual general meeting (AGM). As a result, ordinary resolution 2(a) concerning his re-election will not be tabled at the AGM. The company plans to issue a supplemental circular setting out a new ordinary resolution for the re-election of another director in accordance with Article 84(1) of the company’s articles of association.

Effective the same day, 20 May 2026, Executive Director Mr. Xie Haijing has been appointed as the company’s new authorised representative.

Following these changes, SANAI HEALTH GP’s board consists of two executive directors—Mr. Yuan Chaoyang and Mr. Xie Haijing—and three independent non-executive directors—Professor Zhu Yi Zhun, Mr. Khor Khie Liem Alex and Ms. Tsui Yuen Tan.
