China Qinfa: No Share Capital Changes in April 2026; 118 Million Shares Still Convertible

China Qinfa Group Limited filed its Monthly Return for the period ended 30 April 2026, confirming that all headline share capital indicators remained unchanged during the month.

Authorised and Issued Share Capital • Authorised capital was steady at 20.00 billion ordinary shares with an aggregate par value of HKD 2.00 billion. • Issued shares stood at 2.63 billion, and the company held no treasury shares. There were no allotments, cancellations or repurchases in April.

Public Float The company affirmed compliance with the minimum 25 % public-float requirement under Main Board Rule 13.32B.

Equity Incentives • 2018 Share Option Scheme: no outstanding or newly granted options. The scheme still allows up to 249.34 million shares to be issued in the future. • No warrants or other share-based arrangements were outstanding or initiated.

Convertible Securities • Perpetual Subordinated Convertible Securities remained at HKD 194.70 million, convertible at HKD 1.65 per share. Full conversion would add up to 118.00 million new shares, representing potential dilution of approximately 4.49 % of current issued share capital.

Cash Movements No proceeds were received from option exercises or conversions, as no equity instruments were exercised during the month.

Overall, China Qinfa’s equity structure was static in April 2026, with future dilution risk centered on the outstanding convertibles and the unutilised share-option pool.
