LVGEM China: April Return Confirms Stable Share Capital and Sufficient Public Float

LVGEM (China) Real Estate Investment Company Limited filed its Monthly Return to Hong Kong Exchanges and Clearing for the period ended 30 April 2026, indicating no changes to either authorised or issued share capital during the month.

Authorised Share Capital • Ordinary shares: 30.00 billion shares at HKD 0.01 par, equivalent to HKD 300.00 million. • Convertible preference shares: 6.60 billion shares at HKD 0.01 par, equivalent to HKD 66.00 million. Total authorised capital therefore remained HKD 366.00 million.

Issued Share Capital • Ordinary shares in issue: 6,363,766,467; treasury shares: 0. • Convertible preference shares in issue: 2,138,512,749; treasury shares: 0. No new shares were issued, cancelled, or repurchased during April.

Public Float The company confirmed compliance with the Main Board’s minimum 25% public-float requirement as at 30 April 2026.

Share Option Position Under the 2 June 2016 share option scheme, 225,340,000 options were outstanding, unchanged month-on-month. No options were exercised, and no funds were raised.

Convertible Preference Shares Unlisted convertible preference shares outstanding stood at HKD 2.14 billion, with no conversions during the month.

Administrative Details The return was submitted on 6 May 2026 by Company Secretary Lam Hoi Ki. The filing notes that, given the absence of share-capital movements, no additional confirmations under Main Board Rule 13.25C were required.
