Semiconductor Manufacturing International Corporation (SMIC) disclosed in its Monthly Return for September 2026 that incremental equity issuances were modest and did not affect its public-float compliance on either the Hong Kong Stock Exchange (HKEX) or Shanghai’s STAR Market.

Authorised Capital Stable • Authorised share capital was unchanged at 10.50 billion shares—10 billion ordinary shares and 500 million preference shares—carrying a combined par value of USD 42.00 million.

Sources of New Shares 1. 2014 Stock Option Plan: 40,606 H-shares issued upon option exercises, generating HKD 0.84 million in cash proceeds. 2. 2014 Equity Incentive Plan (RSUs): 43,400 H-shares vested. 3. 2024 Equity Incentive Plan (RSUs): 78,372 H-shares vested, with 9.32 million RSUs remaining available for future issuance. 4. 2021 STAR Market Restricted Share Incentive Scheme: 1.03 million A-shares issued in Shanghai.

Public Float Confirmation SMIC affirmed compliance with HKEX Main Board Rule 13.32D(1), maintaining a public float above the 5 % minimum required for PRC issuers.

Regulatory Compliance The company confirmed that all share issuances were duly authorised, all listing conditions satisfied, and requisite filings completed. No warrants, convertible securities, or treasury share movements occurred during the period.

Overall, September’s equity movements were limited, resulting in negligible dilution while replenishing the pool of shares available under existing employee incentive programmes.
