IMAX China Sets 11 June 2026 AGM; Board Seeks 10% Share Buy-back and 20% Issuance Mandates

IMAX China Holding, Inc. will convene its 2026 Annual General Meeting at 2F KS Meeting Room, Andaz Xintiandi, Shanghai, on 11 June 2026, 7:00 a.m. (Hong Kong time).

Key proposals to be put to shareholder vote:

1. Financial Statements • Receipt of the audited consolidated financial statements and the directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of Executive Director Daniel Manwaring. • Re-election of Independent Non-Executive Directors Yue-Sai Kan and Janet Yang. • Authorisation for the board to set directors’ remuneration.

3. Auditor • Re-appointment of PricewaterhouseCoopers with board-determined remuneration.

4. Share Buy-back Mandate • Authorisation for the board to repurchase up to 10% of the company’s issued shares (excluding treasury shares) on The Stock Exchange of Hong Kong Limited during the defined “Relevant Period.”

5. General Issuance Mandate • Authorisation to allot and issue new shares up to 20% of issued share capital (excluding treasury shares) during the same “Relevant Period,” with standard carve-outs for rights issues, share option exercises and scrip dividends.

6. Extension Mandate • Conditional extension allowing the issuance limit to increase by the number of shares actually repurchased under the 10% buy-back mandate, capped at an additional 10% of issued shares.

Voting & Administrative Details • All resolutions will be decided by poll, with results released on the websites of Hong Kong Exchanges and Clearing Limited and IMAX China. • Shareholders must lodge transfer documents by 4:30 p.m. on 5 June 2026 to qualify for attendance and voting. The register of members will be closed from 8 June 2026 to 11 June 2026 (both days inclusive). • Proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 7:00 a.m. on 9 June 2026.
