Jolimark Schedules 28 May 2026 AGM to Approve FY 2025 Results, Board Re-elections and Share Mandates

Jolimark Holdings Limited will convene its Annual General Meeting (AGM) on 28 May 2026 at 11:00 a.m. at Unit 07, 21/F, K. Wah Centre, 191 Java Road, North Point, Hong Kong.

Key resolutions to be put to shareholders include:

• Financial statements: Shareholders will vote on the adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports.

• Board composition: Re-election of Executive Directors Mr Au Pak Yin and Mr Au Kwok Lun, and Independent Non-Executive Director Mr Yeung Kwok Keung.

• Remuneration: Authorisation for the board to fix directors’ fees.

• Auditor: Re-appointment of Gary Cheng CPA Limited as external auditor and authorisation for the board to fix its remuneration.

• Share issue mandate: A general mandate empowering the board to allot, issue or deal with additional shares—up to 20% of Jolimark’s issued share capital (excluding any treasury shares)—and to grant related options and convertible securities during the mandate period.

• Share buy-back mandate: Authority for the company to repurchase up to 10% of its issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised bourses, in accordance with prevailing regulations.

• Mandate extension: Conditional on the above mandates passing, the share issue limit may be extended by the volume of shares actually repurchased, up to an additional 10% of issued shares.

Administrative details:

• The record date for AGM eligibility is 28 May 2026. The register of members will be closed from 21 May 2026 to 28 May 2026 (both dates inclusive); transfers must be lodged by 4:30 p.m. on 20 May 2026 to qualify for attendance and voting rights.

• Shareholders may appoint one or more proxies to vote on their behalf; proxy forms must be delivered to Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting.

Current board composition comprises Executive Directors Mr Au Pak Yin and Mr Au Kwok Lun; Non-Executive Director Mr Ou Guo Liang; and Independent Non-Executive Directors Ms Kan Lai Kuen, Alice, Mr Sun Po Yuen and Mr Yeung Kwok Keung.
