中石化冠德(00934)公告于即将召开的股东周年大会上，董事会已提请授予一般及无条件授权，以回购不超过公司已发行股本10%的股份。公司目前已发行股份约24.86亿股，若议案获股东大会通过，将允许回购数量最高约2.49亿股。
董事会表示，回购所需资金将严格依据上市规则、公司细则以及百慕达适用法律的规定，以公司可合法动用的内部资源进行。董事认为，这一授权有利于增强资本结构调整的灵活性，并符合公司及股东的整体最佳利益。
公司指出，若在认为有利于股东回报的情况下行使授权，回购股份或可提升公司每股资产净值及每股收益。根据过往交易记录，过去12个月公司股价最低为每股3.88港元，最高为每股4.69港元。
公司计划于2026年6月3日上午10时30分在香港召开展开股东周年大会审议该项回购授权。董事会强调，若提案通过，将自通过之日起直至下届股东周年大会结束或有权机构撤销该权力的较早日期为止有效。公司并将根据后续市况及资金安排酌情实施回购。
