港深智能管理（08181，香港联交所GEM上市）日前发布公告，董事会建议于2026年7月31日举行股东周年大会，审议并授权公司可于大会通过决议当日起至下届股东周年大会结束前（或公司组织章程细则规定的期限届满前，或股东另行通过普通决议案撤销授权之日为止，以较早者为准），在不超过当日已发行股份总数（不包括库存股份）10%的范围内进行股份购回。
根据公告，截至2026年6月30日，公司已发行股份共计1,128,986,665股，若本次授权获股东批准，港深智能管理最多可回购112,898,666股股份。公告称，回购所需资金将来自公司可合法动用的内部资源或其他符合开曼群岛相关法律法规以及GEM上市规则的渠道。公司指出，此项举措旨在提升每股盈利和股东回报，并改善资本结构。
根据过去12个月的市场价格，港深智能管理股份在2025年6月至2026年6月期间内，月度最高价格一度升至每股0.08港元，最低价格为0.041港元。公司表示并无在最后实际可行日期（2026年6月30日）前六个月内于联交所或以其他方式回购股份。董事会认为，这项回购授权符合公司和股东的整体最佳利益。
公告同时提醒股东，公司将于2026年7月31日（星期五）上午11时正于香港召开股东周年大会；并将于7月27日至7月31日暂缓办理股份过户。届时，相关议案将提请股东表决，持股股东可在指定期限内办理登记手续并出席会议。
