Seven Elements Investment Holdings Limited announced a governance overhaul effective 1 September 2026. Independent Non-Executive Director (INED) Mr. Yu Chor On has resigned, citing the need to focus on other business commitments. His departure also vacates his positions as Chairman of the Audit Committee and member of the Nomination Committee. The Board expressed appreciation for his service and confirmed no disagreements or issues requiring shareholder attention.

Concurrently, the Board appointed Ms. Florence Man Shan Ng, 38, as an INED. A Hong Kong-qualified Certified Public Accountant and Type 6 (advising on corporate finance) responsible officer, Ms. Ng currently serves as an INED at CGN Mining Company Limited and is an Associate Director at Grand Moore Capital Limited. Her prior experience includes senior roles in multiple financial advisory firms and Ernst & Young Tax Services. Under a one-year service agreement, she will receive an annual remuneration of HK$0.18 million, and either party may terminate the contract with one month’s written notice. She holds no shares in the company, has no related-party ties, and meets the independence criteria set out in Rule 3.13 of the Listing Rules.

Board-level committee assignments have been updated: Ms. Ng will assume the roles of Chair of the Audit Committee and member of the Nomination Committee, filling the vacancies left by Mr. Yu. These changes restore the company’s compliance with Listing Rule 13.92(2) and Corporate Governance Code provision B.3.5, ensuring gender diversity on the Nomination Committee.

Following the reshuffle, the Board comprises four Executive Directors—Mr. Ip Yik Nam, J.P., Mr. Wen Xiaojian, Mr. Wang Jerry Gerui, and Mr. Sze-to Kin Keung—and three INEDs—Mr. Hui Chin Tong Godfrey, Mr. Ye Longfei, and Ms. Ng Florence Man Shan.
