北海康成-B（01228）7月9日公告称，公司原计划在2026年6月16日公告发布后15个营业日内向股东寄发有关与药明生物技术有限公司订立之服务采购框架协议的通函。由于公司需要额外时间编制并落实通函所载资料，寄发日期将延迟至2026年7月20日或之前。
根据此前公告，拟寄发的通函将包括： (i) 董事会函件，说明服务采购框架协议及拟进行交易的详情与年度上限； (ii) 独立董事委员会致独立股东的函件； (iii) 独立财务顾问致独立董事委员会及独立股东的函件； (iv) 股东特别大会通告； (v) 其他按上市规则要求披露的资料。
公司董事会现由执行董事薛群博士；非执行董事赵瑋女士及王廷伟先生；独立非执行董事Richard James Gregory博士、James Arthur Geraghty先生、陈炳钧先生及胡澜博士组成。
