Imperium Technology Group Limited (Imperium Technology) announced a series of senior-management changes effective 3 July 2026 that leave the Hong Kong-listed company temporarily out of compliance with multiple Listing Rules.

Executive and independent non-executive departures • Executive Director Mr. Xiao Junjia resigned due to other business commitments. • Independent Non-Executive Director (INED) Mr. Zhao Yi also stepped down, relinquishing his roles as chairman of the Remuneration Committee and member of both the Audit and Nomination Committees. Both departing directors confirmed no disagreement with the board and no matters requiring shareholder attention.

Board-committee impact Following Mr. Zhao’s exit, the Remuneration Committee is without a chairman and the Audit and Nomination Committees each fall below their required compositions.

Company secretary transition • Mr. See Hiu Lun resigned as Company Secretary as well as Listing Rule (LR) and Companies Ordinance authorised representative. • Mr. Ip Ka Ki, aged 46, who joined Imperium Technology in 2011 and previously served as company secretary until November 2025, assumes all three roles. A member of the Association of Chartered Certified Accountants and The Hong Kong Chartered Governance Institute, Mr. Ip brings over ten years of auditing, finance and accounting experience.

Resulting non-compliance with Hong Kong Listing Rules The current board now consists of three executive directors and two INEDs—below the minimum three INEDs mandated by Rule 3.10(1). Additional breaches triggered: 1. Audit Committee size below three members (Rule 3.21). 2. Remuneration Committee lacks an INED chairman (Rule 3.25). 3. Nomination Committee no longer has an INED majority (Rule 3.27A).

Imperium Technology is conducting a search to fill the INED vacancy and restore full compliance within three months, as required, and will issue further announcements when appointments are confirmed.
