ASIASEC PPT Sets 20 % Share Issue and 10 % Buy-back Mandates for 20 May 2026 AGM

Asiasec Properties Limited (ASIASEC PPT) has released the notice and agenda for its 2026 Annual General Meeting, scheduled for 10:00 a.m. on 20 May 2026 at Plaza 3, Basement 3, Novotel Century Hong Kong, Wanchai. Key items to be put before shareholders are as follows:

• Financial Statements: The board will seek approval to adopt the audited financial statements and directors’ and auditor’s reports for the financial year ended 31 December 2025.

• Board Composition: Shareholders will vote on the re-election of two directors—Independent Non-Executive Director Ms. Lisa Yang Lai Sum, who has served for more than nine years, and Independent Non-Executive Director Mr. Cheng Chi Kin.

• Auditor Re-appointment: The board proposes to re-appoint Deloitte Touche Tohmatsu as external auditor, with authority for the directors to set its remuneration.

• Share Capital Mandates: – General issuance mandate authorising directors to allot and issue new shares or securities convertible into shares up to 20 % of the company’s issued share capital as at the date of the AGM. – Share buy-back mandate allowing repurchases of up to 10 % of the issued shares on The Stock Exchange of Hong Kong or other recognised exchanges. – Extension mandate permitting the board to increase the 20 % issuance limit by the number of shares repurchased under the 10 % buy-back authority, effectively enabling an additional 10 % capacity.

• Administrative Arrangements: – The register of members will be closed from 15 May 2026 to 20 May 2026 (both days inclusive). Share transfers must be lodged by 4:30 p.m. on 14 May 2026 to qualify for meeting attendance and voting. – All resolutions will be decided by poll, and results will be posted on the websites of the Hong Kong Stock Exchange and the company. – Proxy forms, together with relevant authorities, must be deposited with Tricor Investor Services Limited no later than 48 hours before the meeting.

As at the date of the announcement, the board comprises three executive directors—Mr. Patrick Lee Seng Wei (Chairman), Mr. Lee Shu Yin (Chief Executive) and Mr. Tao Tsan Sang—and three independent non-executive directors—Mr. Li Chak Hung, Ms. Lisa Yang Lai Sum and Mr. Cheng Chi Kin.
