FULLSHARE Holdings: Subscription Price Revised to HK$1.05 Per Share, Trading Resumes This Afternoon

FULLSHARE Holdings (00607) announced that on January 27, 2026, Subscriber I and Subscriber II each entered into Supplemental Subscription Agreement I and Supplemental Subscription Agreement II with the company to amend the terms of the subscription agreements, with the revisions detailed as follows.

The subscription price will be changed from HK$1.04 per share to HK$1.05 per share, representing a discount of approximately 19.23% to the closing price of HK$1.30 per share as quoted on the Stock Exchange on the date of the original subscription agreements.

The subscription amounts payable by Subscriber I and Subscriber II under Subscription Agreement I (as amended and supplemented by Supplemental Agreement I) and Subscription Agreement II (as amended and supplemented by Supplemental Agreement II) are HK$75.6 million and HK$57.75 million respectively.

Calculated based on the revised subscription price, the total gross proceeds raised from the subscription will be HK$133 million, while the net proceeds after deducting all related expenses will be approximately HK$132.9 million. The net subscription price per share, after deducting related expenses, has been revised from HK$1.036 to HK$1.046.

The company has applied to the Stock Exchange for the resumption of trading of its shares, which will take effect from 1:00 p.m. on Tuesday, January 27, 2026.
