Deep Source executes HKD 1.57 million on-market buyback; issued share count slips to 14.78 billion

Deep Source Holdings Limited (Deep Source) disclosed a minor reduction in its outstanding share base following an on-market repurchase executed on 28 July 2026.

Key transaction details • Volume repurchased: 3.00 million ordinary shares, acquired on the Hong Kong Stock Exchange. • Price range: HKD 0.52 – HKD 0.53 per share; volume-weighted average price approximated HKD 0.523, bringing total consideration to HKD 1.57 million. • Treatment: All repurchased shares were retained as treasury stock; none have been cancelled.

Impact on share capital • Issued shares (excluding treasury) declined from 14.78 billion to 14.78 billion, a marginal 0.02% contraction. • Treasury share balance rose from 21.91 million to 24.91 million. • Total issued shares remained unchanged at 14.80 billion, as the latest repurchase shares are yet to be cancelled.

Repurchase mandate status • Current mandate authorised on 30 June 2026 permits repurchase of up to 1.48 billion shares. • Cumulative buybacks under this mandate now stand at 24.91 million shares, equivalent to 0.17% of the issued share base when the authority was granted.

Regulatory considerations • In line with Hong Kong Listing Rules, Deep Source cannot issue new shares or dispose of treasury shares until 27 August 2026—a 30-day moratorium following the latest buyback.
