Smart Globe Holdings (1481) Announces High Concentration of Shareholding

Smart Globe Holdings Limited (1481) issued an announcement on 5 February 2026 highlighting that as of 27 January 2026, 73.53% of its issued shares were held by TeraMetal Holdings Limited (wholly owned by Executive Director and Chairman, Mr. Ng Ho Lun), while a separate group of 20 shareholders held an additional 17.30%. Together, these shareholders accounted for a total of 90.83% of the issued shares, leaving 9.17% held by other investors.

According to the announcement, the company’s share price rose by 275% from HK$0.80 on 9 October 2025 to HK$3.00 on 27 January 2026. As of 4 February 2026, the share price closed at HK$2.94, representing an increase of 268% from its previous level on 9 October 2025.

To restore the public float and meet the requirement under the Listing Rules, a secondary block trade agreement was completed on 1 August 2023, placing 154,260,000 shares to at least six placees. Based on latest information, at least 25% of the company’s issued shares remained in public hands on 27 January 2026 and at the time of the announcement.

The notice reiterates that with a high concentration of shareholding among a small number of shareholders, the share price may experience substantial fluctuations even on relatively low trading volume, and it urges caution when dealing in the shares.
