MIKO INTL Sets 26 June 2026 AGM; Seeks 10% Share Buy-Back and 20% Issuance Mandates

Miko International Holdings Limited has scheduled its annual general meeting for 11:00 a.m. on 26 June 2026 at the Redkids Office Building, Quanzhou, Fujian.

Key agenda items include:

• Financial Reporting: Receiving and considering the audited consolidated financial statements and the reports of directors and auditors for the year ended 31 December 2025.

• Board Composition:  – Re-election of Executive Director Ms. Liu Min.  – Re-election of Independent Non-Executive Director Mr. Guo Zheng.

• Remuneration and Audit:  – Authorisation for the board to fix directors’ remuneration.  – Re-appointment of HLB Hodgson Impey Cheng Limited as external auditor with board-set remuneration.

• Capital Management Mandates:  – Share buy-back authority covering up to 10% of issued shares (excluding any treasury shares) during the mandate period.  – General mandate to allot and issue new shares, or resell/transfer treasury shares, up to 20% of issued share capital.  – Extension of the issuance mandate by the number of shares actually repurchased, capped at an additional 10%.

Administrative details: The share register will be closed from 18 June 2026 to 26 June 2026, inclusive. Shareholders intending to vote must lodge share transfers with Computershare Hong Kong Investor Services by 4:30 p.m. on 17 June 2026. Proxy forms must be filed no later than 48 hours before the meeting.
