迪生创建（00113）续签「都彭」中国区服装独家分销授权协议

2026年9月25日，迪生创建（00113）公告称，其间接全资附属公司宝活投资有限公司已与 S.T. Dupont S.A.（STDSA）签署续订协议，继续获得「都彭」名称、商号及商标下服装产品在中国（不包括香港）的独家分销权。协议期限自2026年10月1日起至2027年9月30日止，为期一年。\n\n根据续订协议，集团按其向分转获授权人于中国（不包括香港）销售「都彭」服装产品所收取专利授权费的50%至70%向 STDSA 支付授权费，按季度结算，最长信贷期30日。 \n\n财务上限方面：\n1. 现有授权协议下，集团于截至2026年3月31日止财政年度已支付授权费300.4万元（港币，下同），低于当年度最高全年上限669.9万元。\n2. 截至2027年3月31日止财政年度（6个月）预计交易金额为16.2万元，低于当年度最高全年上限369.6万元。\n3. 续订协议下，集团于截至2027年3月31日及2028年3月31日止两个财政年度（均为6个月）的授权费最高全年上限各为501.7万元。\n\n由于 STDSA 为主要股东潘廸生及潘冠达的联繫人士，上述交易构成上市规则第14A章所界定的续订持续关连交易，须遵守公告、年度申报及年度审阅等规定，但获豁免发送通函及取得独立股东批准。 \n\n公司表示，通过继续在中国（不包括香港）分销「都彭」服装产品，可拓展集团在中国的零售网络并增强业务覆盖，与集团在亚洲销售名贵商品的主要业务方向一致。
