兆威机电(02692)发布公告称，董事会已获股东大会特别决议案授权，可于法定期限内按照不超过已发行H股总数10%的规模回购公司股份。按照当前已发行26,748,300股H股计算，最高回购数量为2,674,830股。公司表示，本次购回资金将来自合法允许范围内的内部资源，并将严格遵守中国法律法规和香港联合交易所上市规则有关规定。
公告称，此次购回主要用于维持股价稳定和提升股东回报，亦有助于优化资本结构。董事会认为相关安排符合公司整体战略及股东最佳利益。若经监管批准，公司可视情况注销所购回的股份或以库存形式持有。根据公告，相关决议已经提交于2026年5月22日召开的2025年度股东会审议。为落实购回和表决事宜，公司已确定自2026年5月19日至2026年5月22日暂时停止办理H股股份过户登记。公司强调，回购授权的行使仍需结合市场环境及资金安排，并将在必要情况下依照法规履行信息披露义务。
