海峡石油化工控股有限公司（以下简称“海峡石油化工”）发布根据香港公司收购及合并守则（“收购守则”）规则3.7作出的每月更新公告。
公告提及，公司控股股東Forever Winner International Ltd.（“FWI”）此前已进入清盘程序，FWI持有海峡石油化工10.42亿股普通股，占公司已发行股本总额约49.06%。清盘人曾于2026年2月发出意向邀请，为上述股份物色潜在买家，相关交易可能触发收购守则规则26.1项下的强制性全面要约。
截至公告日期，据清盘人告知，其已接获五份有关潜在交易的不具约束力指示性报价，但尚未与任何竞标者订立协议。
根据收购守则规则3.7，海峡石油化工将每月刊發公告更新潜在交易进展，直至按规则3.5发布载列确定要约意图或不拟进行要约决定的公告为止。公司及/或清盘人将根据上市规则或收购守则规定另行刊發公告。
公告同时警示，公司股东及潜在投资者应知悉，潜在交易不一定会落实，亦不保证将触发强制性全面要约，买卖公司证券时需审慎行事，如有疑问应咨询专业顾问。
