Sichuan Expressway Proposes Targeted A-Share Issuance, Seeks Broad Shareholder Mandate at 21 July 2026 EGM

Sichuan Expressway Company Limited has circulated a proxy form ahead of an Extraordinary General Meeting (EGM) scheduled for 3:00 p.m. on 21 July 2026 in Chengdu, Sichuan Province. Shareholders will vote on 11 special resolutions that collectively focus on share-issuance authority, a targeted A-share placement, capital‐use planning, and corporate governance amendments.

Key items on the agenda:

1. General Share-Issuance Mandate • The board seeks a fresh general mandate to issue shares, expanding its flexibility for future equity financing.

2. Qualification for Targeted A-Share Placement • The meeting will confirm that Sichuan Expressway satisfies all regulatory conditions required to issue A shares to specific investors.

3. Detailed Placement Plan • Shareholders will review parameters covering: – Share type and RMB1.00 nominal value – Issuance method, timing, and target investors – Pricing benchmark date, issue price framework, and total shares to be offered – Lock-up arrangements, listing venue, treatment of undistributed profits, and the resolution’s validity period

4-6. Supporting Documentation • Preliminary placement plan, analysis report on the issuance, and feasibility study on the proposed use of proceeds will be presented for approval.

7. No Prior Proceeds Report Required • The company states that preparation of a report on previously raised funds is unnecessary, subject to shareholder endorsement.

8. Three-Year Shareholder Return Plan (2026-2028) • A structured distribution policy for the next three fiscal years is proposed to ensure transparent return expectations.

9. Dilution Mitigation Measures • Management will outline actions to offset any immediate earnings dilution arising from the new share issuance and will submit related undertakings for ratification.

10. Board Authorisation • The board, along with designated delegates, seeks comprehensive authority to manage all matters tied to the targeted A-share issuance upon shareholder approval.

11. Change of Company Name and Articles Revision • A resolution proposes renaming the company and updating its Articles of Association accordingly.

Proxy Logistics Completed proxy forms must reach the H-share registrar, Computershare Hong Kong Investor Services Limited, no later than 24 hours before the meeting or any adjournment. Joint shareholders may vote via the first‐named holder on the register.

The outcome of these resolutions will set the company’s capital-raising capacity, dictate shareholder return policies through 2028, and determine governance adjustments, positioning Sichuan Expressway for its next strategic phase.
