伊顿（ETN）今日宣布，已签署最终协议，将通过"反向莫里斯信托"（Reverse Morris Trust）交易结构，分拆旗下移动出行业务集团（Mobility Group），并将其与达纳公司（Dana Incorporated，DAN）合并，具体安排详见官方新闻稿。
此次交易对合并后公司的企业价值估值逾100亿美元，其中伊顿移动出行业务集团的估值约为51亿美元。根据协议，伊顿将获得约11亿美元的现金分配，该资金将通过移动出行业务集团新发行债务来筹集。伊顿表示，所得款项将按照其资本配置框架使用，包括用于偿还债务。
