Seven Elements Flags Temporary Non-Compliance with HKEX Board Gender Diversity Rule after Female Director Resignation

Seven Elements Investment Holdings Limited announced that the resignation of Executive Director Ms. Zeng Yue Ying on 2 June 2026 has left the board without female representation, resulting in non-compliance with Rule 13.92(2) of the Hong Kong Listing Rules and a deviation from code provision B.3.5 of the Corporate Governance Code.

Pursuant to the Listing Rules, the company must restore gender balance on the board within three months of becoming non-compliant. Management confirmed that an active search is under way to identify a suitably qualified female candidate for both the board and the nomination committee, with an expected appointment no later than 2 September 2026.

The board currently consists of five executive directors and three independent non-executive directors, all male. Further announcements will be issued once a new female director is appointed or if additional updates are required under the Listing Rules.
