EDICO (8450) Announces Connected Transaction with StarMac for 3-on-3 Basketball Competition Event

EDICO Holdings Limited (Stock Code: 8450) announced that on 5 November 2025 (after trading hours), its non wholly-owned subsidiary, The Voice Production Limited (Voice Production), entered into a cooperation agreement (Cooperation Agreement) with StarMac Entertainment & Production Limited (StarMac). The event in question is the 3-on-3 basketball competition of the National Games in Macau, with StarMac acting as operator.

Under the Cooperation Agreement, StarMac will entrust Voice Production with coordinating and managing venue setup and installation works, including sports court erection, installation, dismantling, site decoration, and on-site safety management. StarMac will pay a total fee of MOP1,200,000 (approximately HK$1,165,000) to Voice Production, with settlement due on or before 15 November 2025.

According to the announcement, StarMac is 50% owned by Mr. Lou and 50% owned by Ms. Lou (his sister). Mr. Lou is a substantial shareholder and a director of Voice Production and therefore a connected person of EDICO at the subsidiary level under the GEM Listing Rules. Consequently, StarMac is regarded as an associate of Mr. Lou. The transaction counts as a connected transaction under Chapter 20 of the GEM Listing Rules. It will be aggregated with an earlier FIBA-themed agreement involving the same parties within a 12-month period, following Rule 20.79 of the GEM Listing Rules.

The board of EDICO has approved the Cooperation Agreement, and the independent non-executive directors have concluded that the terms are fair, reasonable, and on normal commercial terms or better. The agreement is subject to reporting and announcement requirements, yet exempted from circular, independent financial advice, and independent shareholders’ approval provisions under Rule 20.99 of the GEM Listing Rules.

Under the Cooperation Agreement, Voice Production expects to enhance its brand presence and diversify its revenue streams by being involved in the National Games’ 3-on-3 basketball event. EDICO primarily provides 24-hour financial printing services and also engages in entertainment production. Voice Production is 65% owned by EDICO and 35% by Mr. Lou. StarMac, with an established track record in sports and entertainment events, is 50% owned by Mr. Lou and 50% by Ms. Lou, focusing on concerts, sports events, and commercial performance management. The board believes the cooperation will strengthen market recognition and boost EDICO’s financial performance.
