圣马丁国际(00482)于香港联交所主板上市，董事会宣布计划在股东大会上寻求授权，回购不超过公司已发行股份总数（不包括库存股份）10%的股份。据公告显示，截至2026年6月8日，公司已发行股份总数为245,391,143股，拟回购股份数量最高可达24,539,114股。
公司称，本次股份回购所需资金将依据百慕达相关法律规定及公司细则，从公司可合法动用的资金中拨付，回购资金来源包括公司的内部资产或可分配利润。董事会认为，回购将有助于提高每股资产净值、优化股本结构，并符合公司及股东的整体利益，最终方案尚需股东批准。
公告披露，公司股价在过去十二个月内，最高触及1.122港元（2026年3月），最低为0.061港元（2025年10月）。董事会表示，日后对回购时机和规模的把握将基于市场状况及公司财务状况综合评估。
公司将于2026年6月30日召开股东周年大会，审议并批准回购授权等相关事项。公司亦提醒股东留意股份过户有关时间安排，并在规定时间内办理股权登记手续。
