Liaoning Port Co., Ltd. has released a circular outlining key resolutions to be submitted to shareholders at the Annual General Meeting scheduled for 26 June 2026 in Dalian.
Dividend proposal • For FY 2025, the Board recommends a cash dividend of RMB0.286 (tax inclusive) per 10 shares, totalling RMB674.15 million based on 23.57 billion shares in issue. • The dividend will be declared in RMB; A-share holders will receive RMB, while H-share holders will be paid in Hong Kong dollars. • Key dates for H shares: last cum-dividend trading day 30 June 2026, ex-dividend date 2 July 2026, register closure 6–9 July 2026, record date 9 July 2026, and payment on or before 1 September 2026. • Key dates for A shares: record date 14 July 2026 and payment on 15 July 2026.
Auditor change • The Company proposes replacing incumbent auditor ShineWing with BDO China Shu Lun Pan Certified Public Accountants LLP for the FY 2026 audit. • Aggregate fees are estimated at RMB4.42 million, comprising RMB3.74 million for the annual report audit and RMB0.68 million for internal-control assurance. • Appointment will take effect upon shareholder approval at the AGM and run until the 2026 AGM.
Board composition • Shareholders will vote on forming the eighth Board (three-year term): – Executive Director: re-election of Li Guofeng (no director’s fee). – Non-executive Directors: re-election of Liu Bin, Yang Bing and Huang Zhenzhou (no director’s fee). – Independent Non-executive Directors: re-election of Cheng Chaoying (annual fee RMB0.20 million) and Chan Wai Hei (annual fee RMB0.25 million); election of Jiao Guangjun (annual fee RMB0.20 million).
Meeting logistics • The AGM will be held on 26 June 2026 at 9:00 a.m. Shareholders recorded on 23 June 2026 (H shares) and 18 June 2026 (A shares) are entitled to attend. • Proxy forms must be lodged at Computershare Hong Kong Investor Services by 9:00 a.m. on 25 June 2026.
All resolutions will be decided by poll in accordance with Hong Kong Listing Rules.
