DESUN SERVICES (02270) announced that on October 10, 2025 (after trading hours), Green Property, Bangtai Yueshang and the target company Chengdu Bangtai Jinchen Property Co., Ltd. entered into a loan agreement. Under the loan agreement, Green Property and Bangtai Yueshang (as lenders) agreed to provide shareholder loans with a total principal amount not exceeding RMB 320 million to the target company, with a term of one year commencing from October 11, 2025. In the shareholder loans, the maximum principal limit provided by Green Property shall not exceed RMB 160 million, and the maximum principal limit provided by Bangtai Yueshang shall not exceed RMB 160 million. The shareholder loans to be provided under the loan agreement are unsecured. Providing shareholder loans to the target company is conducive to ensuring the smooth progress of the target land development project. Therefore, each shareholder of the target company (namely Green Property and Bangtai Yueshang) provides financial support under equal terms and conditions in proportion to their shareholdings. The directors (including independent non-executive directors) believe that the terms of the loan agreement (including interest rates) and the transactions contemplated thereunder are fair and reasonable, determined through fair negotiations based on factors including the actual needs of the target company and prevailing commercial practices. Based on the above reasons, the directors believe that although the transactions contemplated under the loan agreement are not conducted in the ordinary and usual course of business of the Group, the terms of the loan agreement and the transactions contemplated thereunder are fair and reasonable, entered into on normal or better commercial terms, and are in the overall interests of the Company and its shareholders.
