DADI EDU Sets 2 Sep 2026 AGM; Seeks 20% Issuance and 10% Buy-Back Mandates, Plans Auditor Re-appointment and Board Re-elections

Dadi Education Holdings Limited (abbrev. DADI EDU) has issued a circular dated 10 August 2026 convening its annual general meeting (AGM) for 2 September 2026, 3:30 p.m., at Units 702-703, 7/F, 700 Nathan Road, Mongkok, Hong Kong. The share register will be closed from 28 August to 2 September 2026 (both days inclusive); transfers must be lodged by 4:30 p.m. on 27 August 2026 to qualify for attendance and voting.

Key resolutions to be tabled:

1. Capital mandates • Issue Mandate: Directors seek authority to allot and issue up to 20% of the existing issued share capital, equivalent to 350.08 million new shares based on the current 1.75 billion shares outstanding. • Repurchase Mandate: Authority to buy back up to 10% of issued shares, or 175.04 million shares, during the mandate period. • Extension: If both mandates pass, the issuance limit may be increased by the number of shares repurchased. The board states it has no present intention to utilise either mandate. Repurchases, if any, will be funded by internal resources.

2. Auditor ZSZH (HK) Fuson CPA Limited, the incumbent auditor, is nominated for re-appointment, with the board authorised to fix its remuneration.

3. Board composition Four directors will retire and stand for re-election: • Mr Chung Royce – Executive Director & Chairman (monthly fee: HK$0.09 million). • Mr Chung Wang Lung – Non-executive Director; founder and controlling shareholder (monthly fee: HK$0.03 million). • Mr Cheung Leung – Independent Non-executive Director & Audit Committee Chair (monthly fee: HK$0.01 million). • Ms Kong Rachel – Independent Non-executive Director & Remuneration Committee Chair (monthly fee: HK$0.01 million).

4. Shareholding structure impact Grand Courage Investments Ltd., wholly owned by Mr Chung Wang Lung, currently controls 892.71 million shares, or 51.00% of issued capital. Full utilisation of the Repurchase Mandate would raise its stake to approximately 56.67%, still above the Stock Exchange’s 25% minimum public-float requirement.

All resolutions will be decided by poll. Proxy forms must reach Boardroom Share Registrars (HK) Ltd. no later than 48 hours before the AGM.
