Smart-Core: No Change in Share Capital for June 2026; Public Float Stable at 20.61%

Smart-Core Holdings Limited (Smart-Core) filed its Monthly Return for Equity Issuer with Hong Kong Exchanges and Clearing Limited for the period ended 30 June 2026, confirming that no alterations occurred in either its authorised or issued share capital during the month.

The authorised share capital remained at USD 50,000, representing 5.00 billion ordinary shares with a par value of USD 0.00001 each. Issued share capital was unchanged at 488.68 million ordinary shares, and the company continued to hold zero treasury shares.

Smart-Core affirmed compliance with Main Board Rule 13.32D(1), stating that 20.61 % of its issued shares (excluding any treasury shares) were held by the public as at 30 June 2026, thereby meeting the Hong Kong Stock Exchange’s public-float requirements.

No share options were outstanding or exercised during the month; however, the existing Share Option Scheme, approved on 19 September 2016, still permits the issue of up to 50.00 million additional shares upon future option grants. The company reported no warrants, convertible securities, or other equity-linked instruments in issue, and no other movements in shares or treasury shares.

The return, submitted on 2 July 2026 by Company Secretary Chak Wing Man, includes standard confirmations that all regulatory and listing obligations have been met.
