Envision Greenwise Holdings Ltd. (Envision Greenwise) has agreed to purchase high-performance AI servers worth RMB 1.29 billion (approximately HK$1.49 billion) to accelerate the expansion of its newly acquired cloud-computing arm, Shanghai Yovole Cloud Calculation Co., Ltd.
Transaction highlights • Counterparty: Shanghai Shunquan Technology Co., Ltd., ultimately controlled by Taiwan-listed Inventec Corporation and classified as an Independent Third Party under HKEX rules. • Consideration: RMB 1.29 billion, tax included. – 20% (RMB 257.70 million) payable within 14 days of signing. – 80% (RMB 1.03 billion) due before delivery. • Delivery: Servers will be delivered within seven days after full payment. • Warranty: 36-month coverage with free parts replacement; post-warranty service terms to be negotiated separately.
Strategic rationale The servers will underpin the intelligent computing and cloud-service capacity of Yovole Cloud, acquired by Envision Greenwise between June and July 2026. The additional infrastructure is intended to fulfil new customer contracts already secured by the Target Group and strengthen the company’s positioning in China’s growing AI and cloud-computing market.
Funding plan Management expects to fund the purchase through a mix of internal resources, customer prepayments and external financing. The board considers the pricing to be in line with prevailing market rates for comparable hardware.
Regulatory status Given that at least one applicable percentage ratio exceeds 25 % but is below 100 %, the deal constitutes a “major transaction” under Chapter 14 of the HKEX Listing Rules. A controlling shareholder group—holding 50.62 % of Envision Greenwise’s issued share capital—has provided written approval, obviating the need for a shareholder meeting. Board composition As of 6 August 2026, Envision Greenwise’s board comprises four executive directors (Kwok Chun Sing, Tang Chi Kin, Zhan Zhi Hao, Kwok Ho Yee), one non-executive director (Fei Yiping) and four independent non-executive directors (Hau Wing Shing Vincent, Yu Chung Leung, Lam John Cheung-wah, Professor Sit Wing Hang).
