香港建设(控股) 公布，有关要约人华创创业投资以协议安排方式将公司私有化一事，公司已要求其百慕达法律顾问就法定人数要求向法院寻求指示。根据日期为今年5月3日之指令，法院指示法院会议的法定人数要求获豁免；及公司有权向股东汇报《公司法》第99(2)条所规定之投票门槛已於法院会议达成。因此，按照於结果公告所述之投票结果及根据指令，由於法院会议提呈以批准协议安排的决议案已由有关方式通过，包括获得亲身或委派代表出席法院会议并於会上投票，且持股不少於协议安排股东所持协议安排股份价值四分之三的大多数协议安排股东通过等。《公司法》第99条及《收购守则》规则2.10均已获遵守。要约人及公司现正准备建议事项及第二次中期股息的经修订预期时间表，并将在确定相关的日期及期间後就经修订预期时间表另行发布联合公告。 应公司的要求，股份已於今年4月26日起於联交所暂停买卖。公司已向联交所申请於今日(4日)下午1时正起恢复股份於联交所的买卖。(ek/u)~阿思达克财经新闻网址: www.aastocks.com
