智通财经APP讯，创毅控股(03992)及要约人中外运航运有限公司联合公布，要约已于2021年8月6日(星期五)截止，未获要约人修订或延长。要约人已接获要约项下涉及合共约2.17亿股无利害关系股份的有效接纳，相当于无利害关系股份总数约93.51%及公司于本联合公告日期已发行股本总额约43.47%。
紧随要约截止后，经计及涉及合共约2.17亿股接纳股份的有效接纳，及待股份过户登记处正式登记接纳股份的转让后，要约人及其一致行动人士于合共约4.85亿股股份中拥有权益，相当于公司于本联合公告日期已发行股本总额约96.98%。
由于接纳股份于要约截止时不少于无利害关系股份的90%，要约人拟行使其于开曼群岛公司法第88条(根据收购守则规则2.11)项下的权利，强制收购其并无根据要约收购的该等无利害关系股份。
倘要约人全面行使强制收购权，该公司将成为要约人的全资附属公司。该公司将根据上市规则第6.15(1)条向联交所申请撤销股份于联交所的上市地位，目前预期为2021年九月前后。该公司股份将继续在联交所买卖直至撤销股份于联交所的上市地位当日。
紧随要约截止后及于本联合公告日期，1509万股股份(相当于公司已发行股本总额约3.02%)由公众人士持有。因此，未能符合上市规则第8.08(1)(a)条项下25%最低公众持股量规定。
此外，于要约截止后，自2021年8月6日起，李兆华、林少鸿、黄景祥、黎伟文及胡家齐各自已根据购股协议的条款辞任执行董事。
