智通财经APP讯，友佳国际(02398)及要约人友佳实业(香港)有限公司联合公布，内容有关(其中包括)要约人建议根据公司法第86条以协议安排方式将该公司私有化，协议安排已获大法院于2021年12月8日(开曼群岛时间)举行的呈请聆讯上批准且并无作出修订。注销及剔除协议安排股份从而导致的公司已发行股本削减亦已于同日在同一聆讯上获大法院确认。
根据公司法第86(3)条，一份由大法院批准协议安排及确认资本削减的正式命令文本预计将于2021年12月9日(星期四)(开曼群岛时间)送交开曼群岛公司注册处处长办理登记。
待大法院批准协议安排并确认资本削减命令的正式文本完成登记后，协议安排预期将于2021年12月9日(星期四)(开曼群岛时间)生效。
此外，公司已向联交所申请撤销股份于联交所的上市地位，而申请已获联交所批准，并于2021年12月13日(星期一)下午四时正生效，惟须待协议安排生效后方可作实。公司亦已向台湾证券交易所发出有关撤销台湾存托凭证于台湾证券交易所的上市地位的通知，该通知于2021年12月13日(星期一)生效，惟须待协议安排生效后方可作实。
