智通财经APP讯，神州数字(08255)及要约人Data King Limited联合公布，于2022年8月26日，要约人要求董事会向计划股东提呈该建议，根据公司法第86条以协议安排方式将该公司私有化，当中涉及注销计划股份，而作为其代价，就每股计划股份以现金向计划股东支付注销价，以及撤销股份于联交所GEM的上市地位。注销价每股计划股份0.1港元较股份于2022年8月26日(即最后交易日)在联交所所报收市价每股0.0780港元溢价约28.2%。
于该计划生效后，所有计划股份将予注销及剔除，而计划股份的股票将于其后注销并不再具有所有权文件或凭证的效力。紧随该计划生效后，该公司将向联交所申请撤销股份于联交所GEM的上市地位。
据悉，要约人由孙江涛全资实益拥有。孙先生为该公司主席兼行政总裁及执行董事。
公司已向联交所申请股份自2022年9月1日上午九时正起于联交所恢复买卖。
