南岸集团(00577.HK)公告，卢永仁已辞任公司独立非执行董事，因此，公司未能符合以下要求：(i)《上市规则》第3.10(1)及(2)条规定发行人的董事会必须包括至少三名独立非执行董事及其中至少一名独立非执行董事必须具备适当的专业资格，或具备适当的会计或相关的财务管理专长；
(ii)《上市规则》第3.10A条规定发行人所委任的独立非执行董事必须占董事会成员人数至少三分之一。
(iii)《上市规则》第3.21条规定发行人的审核委员会至少要有三名成员，其中又至少要有一名是如《上市规则》第3.10(2)条所规定具备适当专业资格，或具备适当的会计或相关的财务管理专长的独立非执行董事。审核委员会的主席必须是独立非执行董事及成员必须以上市发行人的独立非执行董事占大多数。
在此情况下，联交所已为公司增加额外复牌指引，以重新遵守上市规则第3.10条、第3.10A条及第3.21条。联交所进一步表示，倘公司情况发生变化，联交所可能会修订或补充复牌指引。
