格隆汇1月6日丨赛生药业(06600.HK)公布，新百利融资将代表公司提出要约，在该等条件的规限下，按每股股份10.06港元的价格回购并注销最多达最高数目的股份(即7753.5万股股份，占于本公告日期已发行股份约11.16%)。
要约将完全根据股份回购守则提出。要约的代价(倘要约获全面接纳，则合共约为7.8亿港元)将以现金支付，并将以集团的内部资源拨付。要约价较1月6日收市价8.83港元溢价约13.93%。
公司对集团业务的长远前景充满信心。于要约完成后，集团的业务及管理将维持不变，而公司将维持在联交所上市。集团无意因要约而对其业务作出重大调整，并将继续雇用集团的雇员，而集团的重大固定资产亦不会因要约而重新配置。
在评估其现金状况和近期现金使用方案后，公司认为提出要约属充分使用公司现金，符合其全体股东的最大利益。要约将在要约完成及回购股份注销后提高每股盈利并降低集团的资本成本。
要约让股东有机会以近期市价及集团的每股股份资产净值溢价的价格提交股份，或透过保留彼等的股权以增加其于公司的持股比例及参与集团的未来发展。要约完成及回购股份注销后，全体股东将受益于股东价值提升及资本结构优化。
