智通财经APP讯，CWT INT'L(00521)发布公告，于2023年3月8日，公司间接全资附属公司海南迅通与海南轩颂订立合资公司协议。根据合资公司协议，订约方同意成立海南轩启，以共同合作采购及销售大宗商品，为客户提供运输、仓储及风险管理等配套增值服务，并建立以大宗商品贸易为核心的一体化综合服务体系。
根据合资公司协议的条款，海南轩启的注册资本将为人民币1亿元。海南迅通及海南轩颂将分别出资人民币1000万元及人民币9000万元，并分别拥有合资公司海南轩启的10%及90%注册资本。由于海南迅通将仅持有海南轩启10%股权，海南轩启将不会于成立后成为公司的附属公司。
公告称，鉴于海航科技及公司的业务战略均专注于海南自由贸易港建设规划，双方希望借助“海南自由贸易港”及“一带一路倡议”的政策支持，成立海南轩启，积极参与海南自由贸易港国际贸易服务建设。
就公司而言，该合资公司有助使其产品营运多元化及大幅扩大其产品范围。此外，透过海南轩启进行业务，公司将主要向海南轩启仅提供管理服务，将大幅降低公司的资本风险及资本占用率。同时，中国团队主要为销售人员，并未形成有效的品牌及市场渗透。透过成立海南轩启，公司可以较低成本扩展至中国市场，并进一步推动其自有铜精矿贸易业务于中国的发展及渗透。
