金吾财讯获悉，星莱投资有限公司建议透过协议安排方式对雅士利国际(01230)进行私有化及建议撤销雅士利上市地位。
中国蒙牛乳业有限公司(02319)、星莱投资有限公司（“要约人”）与雅士利国际控股有限公司于2022年5月6日联合刊发公告，内容有关（其中包括）私有化提案。
雅士利董事会已成立由全体独立非执行雅士利董事组成的雅士利独立董事委员会，以就私有化提案及计划的条款是否公平合理以及于法院会议及计划股东特别大会上如何投票向无利害关系计划股东作出推荐意见。全体雅士利的非执行董事均被视为要约人一致行动人士。
