智通财经APP讯，海蓝控股(02278)与要约人中嘉(国际)投资建设有限公司联合公布，已接获的要约有效接纳涉及7128万股要约股份，连同要约人及要约人一致行动人士已拥有2.25亿股股份，要约人及要约人一致行动人士持有合共约2.96亿股股份(相当于公司已发行股本总额约98.76%)。
由于要约人已根据要约接获涉及不少于90%要约股份及不少于90%无利害关系股份的有效接纳，要约人将根据要约透过行使其强制收购要约人尚未拥有或收购的有关要约股份的权利，按与要约相同的条款(即要约价每股要约股份3.36港元)将公司私有化。要约人预期根据开曼群岛公司法第88条于2023年10月13日(星期五)向持有余下要约股份的股东发出强制收购通知。寄发强制收购通知后，要约人将有权及必须于发出强制收购通知日期起计一个月届满后按与要约相同的条款(即要约价每股要约股份3.36港元)收购余下要约股份，除非大法院因接获任何有异议的余下要约股东提出申请后作出相反的命令。
公司已根据上市规则第6.15(1)条向联交所申请撤回股份于联交所的上市地位。
预期股份于联交所的最后交易日将为2023年10月4日。股份将于2023年10月5日上午九时正起暂停买卖，直至撤回股份上市地位为止。假设强制收购于2023年11月20日完成，预期将于2023年11月21日上午九时正起撤回股份于联交所的上市地位。
