智通财经APP讯，茂宸集团(00273)及LIBERTY HIGH CAPITAL LIMITED联合公布，证监会批准已于2023年10月3日取得，据此，证监会批准要约人、Red Emerald Capital Fund II、Red Emerald Capital II Ltd.、Red Emerald Capital Limited、Olentangy River Capital Limited及Xia先生各自根据证券及期货条例第132条成为各香港持牌实体的主要股东。因此，条件(e)于2023年10月3日获达成。
证监会批准乃根据证券及期货条例第132(5)条规定的法定条件授出。除非该计划于证监会批准日期后六个月内或证监会可能书面同意的更长期间内生效(届时公司将成为要约人的直接全资附属公司)，否则证监会批准将失效及不再具有效力。
于本联合公告日期，仍待条件(已获达成的条件(a)、(b)及(e)除外)获达成或豁免(如适用)后，建议事项方会实施，且该计划方会生效并对公司及所有计划股东具有约束力。待此等条件达成或豁免(如适用)后，该计划预期将于2023年11月10日(星期五)生效。
