智通财经APP讯，嘉泓物流(02130)发布公告，董事会获CS物流告知，于2024年8月30日，CS海运交易已根据CS控股与DP World Logistics FZE(“DP World”)日期为2024年4月8日的购股协议的条款及条件完成。紧随CS海运交易完成后，CS控股、Cargo Services Group Ltd.、百昌泰有限公司、利亚洋行有限公司、Cynthia Lau女士及刘石佑先生(“刘先生”)已不再为公司的控股股东
于CS海运交易完成后，刘先生应留任公司主席兼执行董事
紧随CS海运交易完成后，DP World透过CS海运及CS物流于约1.74亿股股份(相当于本公告日期公司全部已发行股本的57.9%)中拥有间接权益，并成为公司的新控股股东。
董事会获进一步告知，紧随CS海运交易完成后，DP World将促使将CS海运及CS 物流当前持有的全部173845222股股份转让予DP World(“重组”)。于重组完成后，DP World将成为公司的直接股东。
执行人员已根据公司收购及合并守则规则26.1注释6(a)授出一项豁免，以豁免DP World本因重组而可能须对股份作出全面要约的义务。
