金吾财讯 | 中手游(00302)早盘股价向好，截至发稿，报0.74港元，涨幅5.71%，成交额100.23万港元。消息面上，公司公布，于2024年9月11日，Super Nova(公司全资附属公司)与大宇订立转让协议，据此获得大宇股东批准后，Super Nova将收购及大宇将转让目标IP权益，代价为(i)Super Nova向大宇支付现金人民币1830万元；(ii)剩余代价应由公司按发行价每股1.68港元向大宇发行及配发3800万股代价股份的方式结付。发行价每股股份1.68港元较股份于本公告日期在联交所所报收市价每股0.70港元溢价140%。大宇及大宇关联公司于所有地区(中国大陆除外)拥有与《仙剑奇侠传》系列游戏及该系列游戏现有及未来衍生的演绎作品(包括但不限于单机游戏、网络游戏、动画、动漫及电影)以及音乐、文字作品、美术作品、视听作品及录音录像作品(无论该等作品乃于签署转让协议前或是后创作)有关的所有注册或未注册的知识产权(包括但不限于着作权及商标权)、竞争性权益、商业机密、普通法项下的商誉及相关权利(统称为"目标IP权益")。
