泛海国际(00129.HK) 与泛海酒店(00292.HK) 发联合公告，表示要约人The Sai Group对于泛海国际及泛海酒店进行建议集团重组的计划，已于昨日(23日)分别在法院会议及股东特别大会获得98.56%及99.81%的赞成，即获得正式通过批准。重组计划代价为附带现金付款的换股要约，计划代价的价值相当于每股计划股份约0.11元，较泛海酒店于6月19日的收市价0.072元溢价约52.78%。
联交所已批准，泛海酒店预料将于今年10月22日下午4时起退市，而泛海酒店股份于主板买卖预计最后时间则为今日(24日)下午4时10分，重组计划料于10月18日生效。(gc/w)(港股报价延迟最少十五分钟。)
